Joseph Mugan

Mr. Mugan practices primarily in the areas of corporate governance, mergers and acquisitions, commercial transactions, financing, franchise law, banking, real estate and licensing matters.

Mr. Mugan represents local, national and international companies, advising in formation, licensing, corporate governance and restructuring matters. Mr. Mugan counsels businesses in financing, structuring and negotiating mergers & acquisitions, asset purchases and sales, roll-ups and all other acquisition-related transactions. Mr. Mugan assists highly regulated financial institutions in corporate and regulatory compliance matters and loan transactions.

Mr. Mugan represents large national homebuilders and commercial developers relating to acquisition, development and disposition of real property, leasing, formation of common-interest communities by homebuilders and related governance matters. Mr. Mugan represents charter schools and nonprofit foundations in tax-exempt bond offerings and campus acquisitions.

Mr. Mugan received a Bachelor of Science in Business Administration in Accounting, cum laude, in 2001 from Creighton University, and a Juris Doctor, cum laude, in 2004 from the William S. Boyd School of Law at UNLV. While attending law school, Mr. Mugan served as a member of the Nevada Law Journal, was the Business Editor on the Editorial Board of the Nevada Law Journal and a teacher in the Street Law Program, educating Nevada teens about the law. Prior to commencing law school, Mr. Mugan worked in the corporate tax department of MGM Resorts International.

Mr. Mugan has served as the Chairperson of The Salvation Army of Southern Nevada Advisory Board since 2014.

Served as lead counsel to all of the following:

• Numerous charter schools and nonprofit foundations in tax-exempt bond offerings and campus acquisitions collectively totaling over $300,000,000 and real property matters relating thereto
• Sale of a Nevada based mining conglomerate engaged in mining operations in Nevada, Mexico and Guatemala to an international mining company
• Multistep sale of medical service provider engaged in business operations in Utah, Nevada, Texas and Arizona to a national private equity firm
• Multistep acquisition of more than 67,000 acres of vacant land for residential and commercial development by pioneering financial technology firm
• Preparation of all Nevada form documents and disclosures for the sale of homes in common interest communities for a national homebuilder and taught and trained sales staff relating to use thereof and compliance with Nevada law
• Sale of a Nevada state-chartered commercial bank to a California state-chartered commercial bank and regulatory matters relating thereto
• Acquisition and sale of companies across a multitude of industries, including solar energy, construction and construction materials, aviation insurance, medical supplies, financial services and mining
• Acquisition and sale of real property and related businesses, including commercial buildings, golf courses, a wine distillery, restaurants, apartment and condominium complexes and vacant land for development
